T. N. Manoharan came from a small town in Vellore district of Tamil Nadu, qualified as a chartered accountant in 1983 and went on to lead the Institute of Chartered Accountants of India. When the Satyam scandal broke in 2009, the government put him on the board that saved the company. His story shows what a CA with integrity can do for a whole country.
A small town and three degrees
Manoharan was born on 7 April 1956 and grew up in a small town in Vellore district of Tamil Nadu. The Hindu BusinessLine records that he was the son of a freedom fighter.
He did not stop at one qualification. He completed a Bachelor of Commerce degree from the University of Madras, a Master of Commerce from Sri Venkateswara University in Andhra Pradesh and a law degree from Madras Law College. Only after finishing law and his post-graduation in commerce did he become a chartered accountant, in 1983.
He then built a practice as a founder partner of the Chennai firm Manohar Chowdhry & Associates, and worked as a practising chartered accountant for more than thirty years.
Leading the profession
Manoharan served as president of the Institute of Chartered Accountants of India in 2006 and 2007. He also chaired the ICAI Accounting Research Foundation and the national committee on accounting standards of the Confederation of Indian Industry.
Regulators kept asking for his help. He sat on the board of the insurance regulator IRDA in 2006 and 2007, and on committees set up by the Reserve Bank of India, SEBI, the Ministry of Corporate Affairs, the Comptroller and Auditor General and the Central Board of Direct Taxes.
He never left teaching behind. The Hindu BusinessLine notes that he mentored the CA student community as a teacher and wrote books on taxation for professionals and students.
The Satyam rescue
In 2009 Satyam Computer Services, then one of India's largest IT companies, was hit by a scandal over its accounts. The government stepped in and appointed new directors to the board, and Manoharan was one of its nominees.
The job was to clean up the accounts and find a buyer for a company whose name had become a byword for fraud. According to the Hindu BusinessLine, Manoharan worked to make investors and buyers understand that it was an individual, not the company and its people, that was tainted. The paper notes that almost ninety-five per cent of Satyam's employees stayed on.
The turnaround took about a hundred days. He later co-authored a book about it, The Tech Phoenix: Satyam's 100-Day Turnaround. In 2009 he received a Business Leadership Award and was named CNN-IBN Indian of the Year as part of the Satyam revival team, and in 2010 the government conferred the Padma Shri on him.
Banks and boards
From 2015 to 2020 Manoharan was the non-executive chairman of Canara Bank, one of India's largest public sector banks. He was a chartered accountant and not a career banker, yet under his watch the bank improved asset growth while keeping quality and pushed hard on recovering bad loans.
In 2020 the Reserve Bank of India made him administrator of the troubled Lakshmi Vilas Bank until its merger with DBS Bank. He also served as lead independent director at Mahindra & Mahindra and as an independent director at IDBI Bank and the National Bank for Financing Infrastructure and Development.
He died in Mumbai on 30 July 2025, at the age of 69, after a heart attack. He is survived by his wife and two daughters. Tributes from fellow chartered accountants spoke of his humility and integrity.
The skills and habits that made the difference
Breadth was his first habit. Commerce, law and the CA course gave him three ways of looking at the same balance sheet, and that is exactly what a fraud investigation or a bank board needs.
The second was a sense of duty. The Hindu BusinessLine reports that he often described his work at Satyam as a service to the nation, and said it was his duty to protect the image of India's business ecosystem.
The third was patience with people. Keeping thousands of worried employees at a company in crisis is not an accounting trick. It came from explaining, calmly and repeatedly, what was true and what was not.
