Case Scenario on Management and Administration
Astra Retail Limited (ARL), an unlisted public company with 1,200 members, scheduled its Annual General Meeting (AGM) for FY 2024-25 on 20th September 2025 at its registered office in Mumbai. The notice of the AGM was dispatched via email on 1st September 2025. ARL provided e-voting facility to its members, with the remote e-voting period open from 16th September 2025 (9:00 AM) to 19th September 2025 (5:00 PM). On the day of the meeting, 20th September 2025, at 10:00 AM (the scheduled start time), only 10 members were personally present. The Articles of Association (AoA) of ARL do not specify any higher quorum requirements. By 10:35 AM, 2 additional members arrived, bringing the total count of members personally present to 12. Since the required quorum was not met within half an hour, the Chairman adjourned the meeting to the same day in the next week, i.e., 27th September 2025, at the same time and place. Meanwhile, Mr. Rohan, a shareholder holding 5% of paid-up equity share capital, had appointed Mr. Suresh as his proxy. Mr. Suresh attended the adjourned meeting on 27th September 2025. During the adjourned meeting, 16 members were personally present, and resolutions were put to vote.
